1. Who this agreement is between
These Terms of Service ("Terms") are a legal agreement between Fibonacci Technologies
LLC, a Wyoming limited liability company ("Company," "we," "us," "our"), and you, the
person using any of our products or services ("you," "member"). Our brands and services
covered by these Terms include The Unfair Advantage platform and chat community, the
TradeSniper device and software, FibiCharts, and Hermes (together, the
"Services").
By clicking "I agree," creating an account, or using any of the Services, you accept
these Terms. If you do not agree, do not use the Services.
2. What we are — and what we are not
We provide software and online data services: charting tools, market data displays,
software-generated indicators and alerts, communication features, subscriptions, and related
hardware.
We are NOT financial advisors, and nothing in the Services is financial advice.
- We are not a broker, dealer, exchange, money transmitter, investment advisor, commodity
trading advisor, or fiduciary of any kind.
- Nothing displayed by the Services — including any chart, indicator, signal, alert,
level, line, statistic, practice result, or AI output — is a recommendation to buy,
sell, or hold anything.
- Every trading decision is yours alone. If you need investment advice, consult a
licensed professional.
3. Trading risk — read this
Trading cryptocurrency, and especially leveraged cryptocurrency derivatives, is
extremely risky. Prices are volatile. Leverage multiplies losses as well as gains.
You can lose the entire amount you trade, and in some cases more. Past performance —
real or simulated — does not predict future results. Software indicators can be wrong, late,
or misleading in any given market. Never trade money you cannot afford to lose. You accept
these risks entirely when you choose to trade.
4. Your account
- Accounts are created from the email address used at purchase. Keep your login
credentials private; everything done under your account is your responsibility.
- One account per person. You must be at least 18 years old (or the age of
majority where you live, if higher).
- You are responsible for the accuracy of the information on your account.
5. The TradeSniper device
- The TradeSniper is sold as a sealed, managed appliance. You own the physical
hardware; the software on it is licensed, not sold, to you for use only on that
device while your subscription is active at the level required for the features you use.
- You agree not to open, modify, jailbreak, copy, reverse-engineer, or extract the
software, data feeds, or configurations on the device, and not to resell or
redistribute the software or data.
- We may deliver software updates to the device. Some updates are required for continued
operation, security, or compliance, and some features may require accepting updated
terms.
- Feature availability depends on your subscription tier. Tiers, features, and
pricing are as posted. We may change which features belong to which tier going
forward; a change does not remove a feature from a billing period you have already
paid for — it takes effect at your next renewal.
- The device confirms your subscription over the internet. If it cannot reach us
to verify (for example, it is offline), tier-based features may be temporarily reduced
until verification succeeds.
- If your subscription lapses, the device is not disabled — tier-based features
reduce (down to the free level) until payment resumes.
- The Services collect certain de-identified usage and trade-event data (for
example: which signals displayed, actions taken, and order outcomes, with personal
identifiers removed) to operate and improve the Services, including signal quality.
Details are in the Privacy Policy.
6. Exchange connections are YOURS
Some features let your device or account connect to third-party cryptocurrency exchanges
using your own exchange account and your own API keys. Your API keys are stored
only on your own device, in encrypted form — they never reside on our servers, and
orders travel directly from your device to your exchange.
- The exchange relationship is entirely between you and the exchange. We are not a party
to it, we do not hold your funds, and we do not execute trades on our own initiative —
the software transmits instructions that originate from settings and actions you
control.
- Software identifier on orders. Orders our software sends to an exchange may
carry our software/partner identifier so the exchange can recognize that the order came
from our software; the exchange may compensate us for referred activity. This does not
change your prices with the exchange and does not make us a party to your trades.
- You are solely responsible for confirming that your use of any exchange is lawful
where you live and complies with that exchange's terms, including any residency or
eligibility requirements. Any general educational material we may make available about
third-party networking tools (for example, VPN software) is provided for information
only, is not a recommendation, and does not change this: compliance with the law and
with your exchange's terms is your responsibility alone.
- Exchanges, networks, and data feeds can fail, lag, or behave unexpectedly. Orders —
including automated orders such as stops, take-profits, and triggers — may execute
late, at unexpected prices, or not at all. You accept these risks.
7. Practice mode (sandbox)
The Services may include a practice/sandbox mode using simulated balances. Practice
results are simulations. They do not account for every real-world condition (liquidity,
slippage beyond modeled amounts, outages, fees, order rejection) and are not indicative
of real trading results. No feature of practice mode is a promise about how real trading
will perform.
8. Hermes and AI features
Hermes and other AI-powered features generate automated responses. AI output can be
incomplete, outdated, or simply wrong, and is provided for information and convenience
only. It is never financial, legal, tax, or professional advice — and no AI output creates,
changes, or promises any policy, refund, or term on our behalf. Verify anything important
independently. AI features require an active paid subscription at the applicable tier.
9. The chat community
- Be lawful and decent. Do not post content that is illegal, infringing, harassing,
threatening, hateful, pornographic, deceptive, or that doxxes or invades anyone's
privacy.
- No spam, no pyramid or Ponzi promotion, no soliciting members for outside investments,
no impersonating the Company or its staff.
- Other members' posts are their own. Anything another member says — including
anything that sounds like trading advice — is not from us, is not vetted by us, and is
not advice.
- You keep ownership of what you post, but you grant us a worldwide, royalty-free license
to host, display, and transmit it as needed to operate the Services.
- We may remove content, suspend posting rights, or remove members from the chat at our
discretion, with or without notice, to protect the community or comply with law.
- Copyright complaints. If you believe content on the Services infringes your
copyright, send a notice through our support channel (Section 21) including: the work
claimed to be infringed, the location of the allegedly infringing material, your
contact information, a good-faith statement, and your signature. We will review, remove
infringing material where appropriate, and may terminate repeat infringers.
10. Subscriptions, billing, and cancellation
- Prices, tiers, and billing periods are as posted at purchase. Payments are processed by
our payment processor (currently Stripe, or another processor or payment method we may
offer); we do not store your full card details.
- Recurring subscriptions renew automatically at the posted price for your plan
until cancelled. One-time purchases — for example 1-year plans, lifetime plans, and
hardware — do not renew automatically; they end or continue according to their
stated term.
- How to cancel a recurring subscription: from your account's
billing/subscription page, or by contacting support (Section 21). Cancellation stops
future renewals; your paid features continue until the end of the period already
paid.
- Refunds. Subscription payments are non-refundable except where required by law.
If your TradeSniper device arrives damaged or defective, contact support promptly — we
will repair or replace a defective-on-arrival unit. Any additional return or warranty
terms stated at purchase also apply.
- Missed or reversed payments. If a payment fails or is charged back, we may
suspend or downgrade the affected account and features until the payment is resolved;
resolving it restores your subscription features.
- Special standings are different from your subscription. Early-adopter and
promotional standings (for example, the Rose Group) follow their own posted rules,
which can include permanent forfeiture if your subscription lapses — even if you later
re-subscribe.
11. The affiliate program
Some members participate in our affiliate/referral program under its own Affiliate
Terms of Service. Affiliates are independent members, not our employees or agents.
Statements made by an affiliate — including any claims about earnings, results, or the
Services — are their own, are not made or endorsed by us, and are not advice. If you joined
through a referral link, your prices are the same as everyone else's.
12. Acceptable use of the Services
You agree not to:
- share, resell, or redistribute the Services, data feeds, signals, or indicators;
- scrape, harvest, or bulk-download data from the Services;
- probe, disable, overload, or interfere with the Services or their security;
- use the Services to violate any law or third-party right; or
- misrepresent your identity or affiliation.
13. Intellectual property
The Services — including software, indicators, displays, designs, names, and logos (The
Unfair Advantage, TradeSniper, FibiCharts, Hermes, and related marks) — are owned by the
Company or its licensors and protected by law. No rights are granted except the limited
license to use the Services under these Terms. If you send us feedback or suggestions, we
may use them without obligation to you.
14. Termination
You may stop using the Services at any time. We may suspend or terminate your access (in
whole or in part) if you breach these Terms, create risk or legal exposure for us or other
members, or if we discontinue a Service. Sections that by their nature should survive
termination (including Sections 2, 3, 13, 15, 16, 17, and 18) survive.
15. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT
PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE
SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DATA OR SIGNALS WILL BE
ACCURATE OR COMPLETE, OR THAT ANY ORDER WILL EXECUTE AS INTENDED.
This section does not limit the defective-on-arrival hardware commitment in Section 10,
any warranty terms stated at purchase, or rights that consumer law does not allow us to
disclaim.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR ANY TRADING
LOSSES, LOST PROFITS, LOST DATA, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) OUR TOTAL AGGREGATE LIABILITY FOR ALL
CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE
TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those places, these limits apply
to the fullest extent permitted.
17. Indemnification
You will defend and hold harmless the Company, its owners, managers, members, employees,
and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising
from your use of the Services, your trading, your content, your violation of these Terms, or
your violation of any law or third-party right.
18. Disputes — arbitration and class-action waiver
Please read this section carefully — it affects your rights.
- These Terms are governed by the laws of the State of Wyoming, without regard to
conflict-of-law rules.
- Any dispute that cannot be resolved informally will be resolved by binding
individual arbitration administered by the American Arbitration Association
(AAA) under its Consumer Arbitration Rules (fees allocated as those rules provide),
rather than in court — except that either party may bring an individual claim in
small-claims court, and either party may seek injunctive relief for
intellectual-property misuse.
- You and the Company each waive the right to a jury trial and the right to
participate in a class action.
- Your right to opt out: you may opt out of this arbitration agreement by sending
us written notice through the support site (Section 21) within 30 days of
first accepting these Terms. Opting out does not affect any other part of these
Terms.
- To start the informal process, contact us (Section 21) with a written description of
the dispute; both parties will attempt in good faith to resolve it within 60 days
before arbitration.
19. Changes to these Terms
We may update these Terms. Each version carries its own version number and effective
date. For material changes, we will require you to review and accept the new version before
continuing to use the affected Services. Continued use after acceptance constitutes
agreement. If you do not agree to an updated version, stop using the affected
Services and contact support (Section 21) about your options.
20. Electronic acceptance
Clicking "I agree" (on a TradeSniper device, on the platform, in the chat, or at
checkout) is your electronic signature and has the same force as a handwritten signature. A
record of the version you accepted, and when, is kept on your device or account.

That is the channel for everything — support questions, billing and cancellation help,
copyright complaints, dispute notices, and arbitration opt-outs. Written notices submitted
there are received by Fibonacci Technologies LLC (identified in the header of this
document).
22. The fine print that keeps everything honest
- If any part of these Terms is found unenforceable, the rest remains in force.
- These Terms plus any posted policies they reference (pricing, the Affiliate Terms of
Service, the Privacy Policy) are the entire agreement between us about the Services.
- We may assign this agreement in connection with a merger, sale, or reorganization; you
may not assign it without our consent.
- Our failure to enforce a provision is not a waiver of it.
